晶泰控股(02228)2.5億人幣收購上海四維醫學科技90%股權 X

<匯港通訊>     晶泰控股(02228)宣布，收購上海四維醫學科技(目標公司)90%股權，現金代價2.5億人民幣(下同)。

目標公司為中國領先的遠程技術平台及遠程診斷服務解決方案供應商，亦為國內最大規模的遠程心電圖診斷服務解決方案企業。

在完成目標公司收購後，將系統性整合目標集團運營積累的心電診斷數據集，結合集團自主研發的高精度AI輔助診斷系統，打造人工智能賦能的遠程心電診斷平台，同時將構建「檢測-診斷-治療」全周期健康管理閉環，基於心電大數據分析挖掘，加速推進心血管創新藥物管線及功能性健康產品的研發進程。

賣方及擔保人向買方承諾，目標公司於截至2025年12月31日止財政年度來自上海地區項目的主營業務收入不得少於2700萬元。 (ST)
