愛德新能源(02623)控股權易主獲每股0.4104元提全購 下午復牌 X

<匯港通訊>      愛德新能源(02623.HK)宣布，大股東已向Prominence Investment Holding Company Limited(要約人)及吳海淦出售1.95億股持股，佔公司已發行股本55.66%，現金代價8000萬元，相當於每股0.4103元，較股份停牌前報價0.8元折讓48.7%，要約人將按每股0.4104元，就餘下股份提出無條件強制性全面現金要約，要約人應付要約代價約6374.6萬元。愛德新能源下午1時正起恢復股份買賣。
要約人擬於要約結束後繼續經營集團現有主要業務。要約人擬於要約結束後維持股份於聯交所上市。要約人無意於要約結束後動用其任何權力強制收購任何流通在外的股份。
