<匯港通訊>  花樣年控股(01777)宣布，訂立重組協議，當中包括： Splendid Fortune Enterprise Limited (買方)以每股0.087元，收購附屬彩生活(01778)股份，佔彩生活已發行股份約21.97%，總代價452.84萬美元。

TFISF 撥用代價(即出售銷售股份所得款項)；將 TFISF 股份(佔彩生活已發行股份約10%)轉讓予TFISF 指定實體作為對據稱擔保的有效執行；自據稱債務扣除代價及協定股份價值，從而將應付予TFISF 之總債務減至淨差額。

該公司保留彩生活已發行份約9.98%，該等股份不受據稱擔保或任何其他申索所限，並已獲悉數解除及免除。

買方由曾寶寶及 Liu Liangqi 持有。  (WH)
